Yahoo hasn't really said anything about it yet. Micosoft is trying to do a hostile take over of Yahoo because Microsoft has no chance of being able to compete against Google alone....
Yahoo could though.... If they merged with Ebay Yahoo could severely impact Google.

The offer is still on the table, but it probably will be accepted.
Not yet. Microsoft need a "loan" of whatever amount in order to buy Yahoo. Google is also trying to stop the overtaking. I heard something about Congress is going to review this situation as well, but I am not sure.
